Nordic Mining ASA

The Rights Issue consisted of up to 17,391,304 new offer shares (the “Offer Shares”), each with a nominal value of NOK 0.60. The subscription price in the Rights Issue was set to NOK 2.30 per Offer Share. 

The Company's shareholders as at the end of 1 November 2018, as documented by the shareholder register in the Norwegian Central Securities Depository (the "VPS") as of 5 November 2018 (T+2) (the "Record Date"), who were not resident in a jurisdiction where the Rights Issue would be unlawful, or would (in jurisdictions other than Norway) require any prospectus filing, registration or similar action, are being granted tradable subscription rights (the "Subscription Rights") to subscribe for and be allocated Offer Shares in the Rights Issue based on their shareholding as of Record Date ("Eligible Shareholders"). Each Eligible Shareholder was granted 0.1532942 Subscription Rights for every existing share registered as held by such Eligible Shareholder at Record Date. One Subscription Right gave the right to subscribe for and be allocated one (1) Offer Share in the Rights Issue. 

The subscription period for the Rights Issue commenced on 6 November 2018 and expired at 16:30 hours, Oslo time, on 20 November 2018 (the "Subscription Period").
